Terms & Conditions

The terms governing access to and use of Enterprise CI/CD Experience and its related services.

Last updated: August 20, 2026

These Terms and Conditions ("Terms") govern access to and use of the Enterprise CI/CD Experience platform and related services (collectively, the "Services") provided by us (the "Provider") to you (the "Customer"). By using the Services, you agree to these Terms.

1. Scope of Services

The Services provide a deployment pipeline, tooling, and operational guidance to set up and operate a Magento 2 application in your cloud accounts (e.g., AWS, and optionally other supported providers). Unless expressly stated in an Order Form, the Provider is not a cloud provider and does not resell cloud infrastructure. Customer remains the account owner of its cloud resources and is responsible for corresponding usage charges, service limits, and compliance obligations imposed by the underlying providers.

2. Accounts, Access & Security

  • Customer grants Provider the minimum permissions necessary (e.g., IAM roles/keys) for the Services to function. Customer is responsible for safeguarding credentials, secrets, and access policies within its accounts.
  • Customer is provided domain names, TLS certificates, DNS records, email/SMTP configuration, and third‑party integrations unless otherwise specified in writing.

3. Plans, Resource Limits & Overage Billing

Each subscription plan includes published resource envelopes (the "Plan Limits"). Typical limits may include: (a) total vCPU/RAM across application services and workers; (b) database/cache instance sizes and counts; (c) storage (e.g., EFS, S3) capacity and data transfer; (d) CDN/WAF rules and request volumes; (e) observability/log ingestion and retention. The applicable limits for your plan are specified in your Order Form or plan description.

  • If usage exceeds Plan Limits, Customer authorizes Provider to either (i) notify and throttle or pause non‑critical workloads until usage is within limits; or (ii) scale resources to maintain stability. Scaled resources incur additional charges.
  • Overage/upgrade fees are added to the next monthly invoice and are billed at then‑current rates or as specified in the Order Form. Provider will use reasonable efforts to notify Customer upon approaching ~80% of a limit when practicable.

4. Fees, Invoicing & Taxes

  • Subscription fees are billed monthly in advance. Overage and usage‑based fees are billed in arrears. Unless otherwise agreed, invoices are due Net 7 days from date of invoice and are payable in USD.
  • Late payments may incur the lesser of 1.5% per month or the maximum rate permitted by law; Customer is responsible for applicable taxes, excluding Provider’s income taxes.

5. Term, Cancellation & Termination

  • The subscription renews according to the billing schedule selected at checkout unless otherwise stated. For subscriptions with a one-to-three-year term, Customer may cancel by providing at least three (3) months' advance written notice before the renewal date. Cancellation takes effect on the final day of the current subscription term, and all fees remain payable through that date.
  • Provider may suspend or terminate the Services for material breach, non‑payment, security risk, or unlawful content/activity. Provider may immediately terminate where content is illegal or violates our policies.
  • Upon termination, access to the Services ends. Provider will retain operational logs for a limited period as required for audit and security; Customer should export artifacts it requires prior to termination. Provider may delete any remaining data after 30 days.

6. Support & SLA (Basic Support)

Basic Support is included and provided during business hours (Mon–Fri, 9:00–18:00 ET, excluding U.S. holidays). Response targets are best‑effort guidelines and not service credits unless an SLA add‑on is purchased. Target response times by severity:

SeverityExampleTarget First ResponseTarget Workaround/Resolution
Sev 1 – CriticalProduction down, checkout unavailable4 business hoursWorkaround: 1 business day; Resolution: best‑effort
Sev 2 – HighDegraded performance, major feature impacted1 business dayWorkaround: 3 business days; Resolution: best‑effort
Sev 3 – MediumNon‑critical bug, intermittent issue3 business daysQueued for next maintenance window
Sev 4 – LowDocumentation/questions, how‑to5 business daysAs time permits

Enhanced SLAs and 24×7 coverage are available via a paid support add‑on.

7. Content & Acceptable Use

  • Customer is solely responsible for all application code, data, and content deployed using the Services, including compliance with applicable laws (e.g., privacy, consumer, export, and IP).
  • Provider may remove or require removal of content, or suspend Services, if content is unlawful, infringes third‑party rights, or contradicts our policies. Provider may report illegal content to authorities.

8. Infrastructure Responsibility & Maintenance

The Services rely on infrastructure provided by third‑party cloud providers. Provider is not responsible for outages, defects, pricing changes, or limitations originating from those providers. Routine maintenance windows and emergency changes may be required; Provider will use reasonable efforts to schedule maintenance during off‑peak hours and provide notice when feasible.

9. Data Protection & Compliance

  • Provider processes limited operational data (e.g., deployment metadata and logs) to deliver the Services. Customer is the controller of end‑user data processed by the Magento store.
  • Unless agreed in writing, the Services are not certified for regulated workloads (e.g., HIPAA, PCI DSS Level 1). Customer is responsible for implementing required controls, including encryption, key management, and data retention within its cloud accounts.
  • Backups: Unless explicitly purchased as a managed add‑on, Customer is responsible for configuring and validating database/file backups and recovery procedures in its accounts.

10. Intellectual Property

The Services, documentation, templates, deployment scripts, and related materials are owned by Provider or its licensors. No rights are granted except as expressly stated. Customer retains ownership of its application code and content.

11. Warranties, Disclaimers & Limitation of Liability

  • THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." PROVIDER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES IS LIMITED TO THE FEES PAID BY CUSTOMER FOR THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. PROVIDER IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

12. Indemnification

Customer will defend and indemnify Provider against claims arising from (a) Customer’s content or applications; (b) use of the Services in violation of law or these Terms; or (c) alleged infringement caused by Customer’s materials or configurations.

13. Changes to Terms

Provider may update these Terms from time to time. Material changes will be communicated via the dashboard or email. Continued use after the effective date constitutes acceptance of the updated Terms.

14. Governing Law; Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Delaware.

15. Miscellaneous

  • Entire Agreement; Order of Precedence: These Terms together with the Order Form(s) are the entire agreement. If there is a conflict, the Order Form controls.
  • Force Majeure: Neither party is liable for delays due to events beyond reasonable control.
  • Assignment: Neither party may assign without consent, except to an affiliate or in connection with a merger or sale of substantially all assets.
